Terms of Service

These Terms of Service ("Terms") form an agreement between you and AIFO, Inc. ("AI.FO", "we", "us", or "our") and govern your access to and use of AI.FO (the "Service"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a company, you agree on its behalf and represent that you are authorized to do so.

1. The Service

AI.FO is a financial intelligence application. It connects to accounting data you choose to provide, such as QuickBooks Online, which it accesses on a read-only basis, or files you upload, computes financial signals from that data, and produces analysis and written summaries. Features available to you depend on your plan.

2. Accounts and eligibility

• You must provide accurate account information and keep it up to date.
• You are responsible for activity under your account and for keeping your credentials secure.
• You must be at least the age of majority in your jurisdiction and able to form a binding contract.
• The Service is intended for business use.

3. Subscriptions, billing, and cancellation

Paid plans are offered on a recurring subscription basis. By subscribing, you authorize us and our payment processor to charge the fees for your selected plan, at the price and billing interval presented to you at the time of purchase, on a recurring basis until you cancel.

• Fees. The applicable fees, billing interval (for example, monthly or annual), and any plan limits are those shown at checkout for the plan you select.
• Free tier. A free tier may be offered for limited, evaluation use and may be changed or discontinued.
• Trials. Where a free trial is offered, it may require a valid payment method and will convert to a paid subscription at the end of the trial unless you cancel before it ends.
• Renewal. Subscriptions renew automatically at the end of each billing period at the then-current rate unless canceled beforehand.
• Cancellation. You may cancel at any time. Cancellation takes effect at the end of the current billing period, and you retain access until then.
• Failed payments. If a payment fails, we may provide a grace period during which we attempt to collect payment before access is reduced or suspended.
• Refunds. Except where required by law or expressly stated at the time of purchase, fees are non-refundable, other than any money-back guarantee we present for an initial subscription.
• Taxes. Fees are exclusive of taxes, which you are responsible for where applicable.
• Price changes. We may change prices; changes apply to future billing periods and we will provide notice as required.

4. QuickBooks Online and Intuit terms

If you connect QuickBooks Online, you authorize AI.FO to access your accounting data through the QuickBooks authorization you grant through Intuit; AI.FO uses that connection on a read-only basis and does not write to your QuickBooks account. Your use of that connection is also subject to Intuit's applicable terms. The following terms apply to data and functionality provided through Intuit:

• Intuit is not a party to these Terms and has no responsibility or liability for the Service.
• Data made available through Intuit is provided on an "as is" and "as available" basis, without warranties of any kind from Intuit.
• Intuit and its licensors will not be liable for any damages arising from your use of the Service or of data accessed through Intuit.
• You agree to comply with Intuit's applicable terms of service and end user license terms when using the QuickBooks Online connection.

The exact Intuit end user license and passthrough wording is subject to Intuit's current developer requirements and will be finalized as part of production app review.

5. Acceptable use

You agree not to:

• Use the Service in violation of any law or third-party right.
• Attempt to access data or accounts that are not yours, or to defeat the Service's tenant isolation or security controls.
• Reverse engineer, copy, or resell the Service except as permitted by law.
• Interfere with or disrupt the integrity or performance of the Service.
• Upload unlawful content or data you do not have the right to provide.

6. Your data and intellectual property

You retain ownership of the data you provide. You grant AI.FO the rights needed to host, process, and display that data to provide the Service to you and, where you request it, to generate analysis and written summaries. AI.FO and its licensors own the Service, including its software, models of operation, and content, other than your data. Our handling of personal information is described in our Privacy Policy.

7. No professional advice

The Service provides financial information and analysis for your business's internal use. It is not financial, accounting, tax, legal, or investment advice, and it does not replace the judgment of a qualified professional. You are responsible for decisions you make based on the Service.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

9. Limitation of liability

To the fullest extent permitted by law, AI.FO and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data. Our total liability arising out of or relating to the Service will not exceed the amount you paid to us for the Service in the twelve months before the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold AI.FO harmless from claims arising out of your use of the Service, your data, or your violation of these Terms, to the extent permitted by law.

11. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access if you violate these Terms or to protect the Service. On termination, your right to use the Service ends; the sections that by their nature should survive will survive.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The courts located in Delaware will have jurisdiction over disputes arising out of these Terms, except where applicable law provides otherwise.
